These Terms of Service ("Terms") govern your access to and use of ProductImageSync (the "Service"), a Google Sheets add-on operated by ProductImageSync Team ("we", "us", "our"). By installing or using ProductImageSync, you agree to these Terms. If you do not agree, do not install or use the Service.
1. The Service
ProductImageSync is a Google Workspace add-on that helps you convert floating images in Google Sheets into in-cell images and Google Drive-hosted URLs. The Service is delivered as software running inside the Google Sheets interface and on our Google Cloud Platform infrastructure. The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied.
2. Eligibility
You must be at least sixteen (16) years old, or the legal age of majority in your jurisdiction (whichever is greater), to install or use the Service. By accepting these Terms, you represent that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your account and authorization
To use ProductImageSync, you authorize the add-on with your Google account through the standard Google OAuth flow. The permissions granted are described in our Privacy Policy. You are responsible for keeping your Google account credentials secure. You may revoke the Service's permissions at any time at myaccount.google.com/permissions.
4. License to use the Service
Subject to your compliance with these Terms, we grant you a personal, worldwide, non-exclusive, non-transferable, revocable license to install and use the Service for its intended purpose. This license does not transfer any ownership, intellectual property, or rights in the Service, its source code, branding, or documentation. All rights not expressly granted are reserved.
5. Your content
You retain all rights to your spreadsheets, images, files, and other data that you process with the Service ("Your Content"). We do not claim ownership of Your Content. You grant us a limited, non-exclusive, worldwide license to access and process Your Content solely as necessary to provide, secure, troubleshoot, and improve the Service, and only as described in our Privacy Policy. This license is limited to the duration and purpose of the jobs you run, except for the limited operational data and retention periods described in the Privacy Policy. You are solely responsible for ensuring that you hold the rights necessary to process Your Content with the Service.
6. Acceptable use
When using the Service, you agree not to:
- Process content for which you do not hold the necessary rights, including content that infringes copyright, trademark, privacy, publicity, or other rights of any third party.
- Attempt to exceed the published per-job and concurrency limits described in Section 7, or otherwise impose an unreasonable load on the Service.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law.
- Attempt to access, probe, or test the security of the Service or its infrastructure without our prior written consent.
- Use the Service to send unsolicited messages, malware, or any unlawful content.
- Bypass, circumvent, or attempt to bypass authentication, rate-limiting, or any other security or operational control of the Service.
- Resell, sublicense, or commercially redistribute the Service or access to it.
We may suspend or terminate access to the Service if we reasonably believe you have violated this Section 6.
7. Service limits
To protect reliability for all users, the following limits apply:
- Up to 500 images may be processed per single job.
- Up to 20 jobs may be processed concurrently across all users of the Service. When the concurrency cap is reached, additional jobs receive a "Worker at capacity" message and should be retried later.
- Apps Script enforces a six-minute hard limit per execution. ProductImageSync handles this by checkpointing work across multiple short triggers; very large or unusual jobs may still require manual restart.
We reserve the right to adjust these limits in the future and will announce material changes in the add-on's Help section.
8. Pricing
ProductImageSync is offered free of charge during the early launch period. We do not collect payment information at this time. Free access during the early launch period does not guarantee that the Service will remain free indefinitely. We may introduce paid plans or modify the free tier in the future. Any paid terms, prices, and conditions will be published before you are asked to pay, and you will not be charged without your explicit agreement. If paid plans are introduced, payments will be handled by a third-party payment processor, and that processor's handling of your payment information will be governed by its own terms and privacy policy.
9. Service availability
We make reasonable efforts to keep the Service available and operational. However, we do not guarantee uninterrupted access, error-free operation, or specific performance levels. The Service depends on third-party infrastructure (Google Cloud, Google Workspace APIs, your Google Drive quota) that is outside our direct control. We may modify, suspend, or discontinue the Service, in whole or in part, where necessary for security, maintenance, legal, or operational reasons. Where reasonably practical, we will provide advance notice of material changes through the add-on or our website.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRODUCTIMAGESYNC TEAM, ITS CONTRIBUTORS, OR ANY AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF YOU HAVE NOT PAID ANY FEES FOR THE SERVICE, OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD 100). IF PAID PLANS ARE INTRODUCED AND YOU HAVE PAID FEES, OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS (USD 100) OR THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless ProductImageSync Team from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms, (b) your misuse of the Service, or (c) your violation of any law or the rights of any third party in connection with your use of the Service.
13. Termination
You may stop using the Service at any time by uninstalling the add-on from your Google account at myaccount.google.com/permissions. We may suspend or terminate your access to the Service immediately and without notice if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service to you would create operational or security risks. Sections 4 (excluding the license grant), 5, 6, 10, 11, 12, 15, and 16 survive any termination of these Terms.
14. Changes to the Service and these Terms
We may update the Service and these Terms from time to time. The "Last updated" date at the top of this document reflects the most recent revision. Material changes will be announced inside the add-on's Help section before they take effect. Your continued use of the Service after a change has been announced constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or in connection with these Terms or the Service will be resolved in good faith and, where applicable law permits, through informal negotiation in the first instance before resorting to formal proceedings.
16. Miscellaneous
- If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProductImageSync Team regarding the Service.
